As a result of certain acquisitions which occurred in the latter part of the second quarter of 1999 and the purchase accounting which such acquisitions necessitated, the Registrant has been unable to prepare certain financial information required by Form 10-Q for the quarterly period ended June 30, 1999, without unreasonable effort or expenses. It is anticipated that the Registrant's net income for the quarter ended June 30, 1999, will be approximately $776,000 and after giving effect to the payment by the Registrant of approximately $73,000 in preferred stock dividends in such quarter, a net income of approximately $703,000 (or approximately $.04 per share of Common Stock). In comparison, for the quarter ended June 30, 1998, the Registrant recorded net income of $216,000 and after giving effect to the payment by the Registrant of approximately $89,000 in preferred stock dividends in such quarter, net income of approximately $127,000 (or approximately $.01 per share of Common Stock).
