Item 8.01 – Other Events

On Friday, June 26, 2009, the Securities and Exchange Commission declared effective Perma-Fix Environmental Services, Inc.’s (the “Company”) shelf registration statement on Form S-3.  The shelf registration statement gives the Company the ability to sell up to 5,000,000 shares of its common stock from time to time and through one or more methods of distribution, subject to market conditions and the Company’s capital needs at that time.  The terms of any offering under the registration statement would be established at the time of the offering.  The Company does not have any immediate plans or current commitments to issue shares under the registration statement.
